Led a global legal entity rationalisation programme across 13 jurisdictions, combining dedicated programme management with legal support, including UK pre-liquidation restructuring and coordination of external advisers.
Complex legal change needs both legal expertise and hands-on delivery. Most advisers give one. We give both, embedded in your team, and see it through to completion.
Delivering for leading organisations since 2008
They join up: M&A creates governance work and often triggers rationalisation in its wake.
One team across all three.
Complex structures, simplified.
Groups accumulate entities they no longer need, each adding cost, filing burden and risk. We analyse what you actually have, agree what stays and goes, deliver the wind-downs, internal mergers and share sales, and put the governance in place so the sprawl doesn't return.
Explore rationalisation →Complex deals, delivered.
A deal runs legal, financial, tax, people and operational workstreams at once, and closing is only the start. We take on the whole programme, from pre-deal structuring through due diligence, signing and closing, to the integration after the ink dries, where value is kept or lost.
Explore M&A →Governance that works.
Practical governance support at board and subsidiary level, reviewed, improved and embedded. We keep it proportionate, and we implement the changes rather than leave them in a report on a shelf.

Reviewed and improved BAFTA's governance framework over 18 months, covering board and committee structures, roles, decision-making and alignment with the Charity Governance Code, then worked with senior leaders to implement the recommendations.

Provides ongoing subsidiary governance and company secretarial support across Pearson's global subsidiary portfolio, keeping compliance on track and the right oversight in place across jurisdictions, built on the legal entity master data we established across Oracle and GEMS and the global simplification programme that followed.

Over more than a decade, supported the elimination of hundreds of legal entities and wider corporate simplifications, and led the legal and programme delivery of a significant multi-jurisdictional downstream restructuring.

Supported a global legal entity rationalisation programme with programme management, due diligence oversight and legal advice, including mergers in Brazil, intragroup cash-pooling transactions and UK business restructuring.

Led the European post-merger integration for a US manufacturing software group that had expanded rapidly through acquisition, standing up its European legal team and processes. The work spanned rationalisation, including several domestic mergers of German entities, a European governance review, and an outsourced services arrangement across multiple territories.
We map the work and agree the plan with your team.
We embed and run every workstream alongside you.
We stay until it is done, including what comes after.
Legal and delivery together, not two suppliers to coordinate.
We work as part of your team for the whole programme.
We stay until it is done, not just until the advice is given.
The people who scope your programme are the people who deliver it. We embed with your team, so you always know exactly who you are working with, from the first conversation through to completion.
