Governance improvement, whether board composition, delegation of authority, subsidiary compliance, or a group structure that has grown beyond its original design, needs dedicated time and resource that stretched in-house teams struggle to provide.
It competes with everything else, so it tends to get deferred rather than delivered. And when governance work does happen, it can stop at a report. Recommendations are made, and then very little changes. Moving from assessment to implementation takes both legal expertise and the hands-on capacity to see the work through.
Governance at the top of the organisation: how boards, executive teams and committees are structured, how they operate, and how well they perform. Composition, skills and independence, the roles and responsibilities of directors, trustees and executives, and the quality of decision making and board meeting practice.
We work with corporate boards and charity trustee boards. What is right for a listed company board is not necessarily right for a charity trustee board, but the underlying principles are closely aligned. Where relevant we assess against the UK Corporate Governance Code and charity governance standards.
For organisations operating through a group structure, governance below board level carries the same legal weight as governance at the top, and receives less dedicated attention, which is where compliance gaps develop unnoticed.
Every entity has its own statutory obligations, filing requirements and rules governing how it must be run. Getting it right means the right director structures, directors who understand and fulfil their duties, and authority flowing clearly from the group to its subsidiaries, so decisions are made at the right level, by the right people, with the right oversight.
