Core Service Terms for Governance Reviews
Competence & Capacity
We conduct independent board reviews within agreed timeframes including, but not limited to: interviews with board members, senior management and relevant key stakeholders; board skills matrix evaluation and board succession planning; review of the board’s governance and compliance with regards to the UK Corporate Governance Code and/or other applicable regulations; review of relevant documentation e.g. terms of reference; past board minutes; diversity policy; review of company’s website for accuracy and compliance with corporate governance best practice; observation of meetings; advising the board on how to address any issues highlighted by the review; a final report to the Board including recommended actions.
Independence & Integrity
Client confidentiality is our highest priority. All client documents, including our feedback and final reports are stored on our encrypted storage facility, Tresorit.
We are transparent about other legal services we provide and maintain our responsibility to avoid conflicts of interest.
Client Engagements
We provide a formal Engagement Letter which must be agreed by the client before we commence any work. Our Engagement Letter sets out clearly the scope of services to be provided, how these services will be resourced, agreed timescale and our fees. It also sets out our terms of confidentiality, how we handle sensitive information and the protection of legal privilege.
Client Disclosure
In cases where our client is required to disclose publicly the findings from its Board Performance Review, (e.g. public listed companies complying with the UK Corporate Governance Code in relation to their narrative reporting), we request that such disclosures describing the process by which the review was conducted and any statements that purport to represent our opinions on the review’s findings are agreed with us before they are made public.
If this is not possible, we respectfully request that we have the ability to comment on the factual accuracy of any such disclosures before they are finalised.
